Dr. Octopus Business Registration Terms & Privacy Agreement

Effective Date: September 28, 2026

By creating a Business or Professional account on Dr. Octopus ("Dr. Octopus", "we", "us", or "our"), you ("Business", "Professional", "you", or "your") acknowledge that you have read, understood, and agree to the following Business Registration Terms & Privacy Agreement.

Your registration will not be completed unless you select "I Agree & Register".

1. Business Information

You agree to provide accurate, complete, and current information about your business, including, where applicable:

- Business name;
- Contact information;
- Business address;
- Website;
- Services and categories;
- Areas served;
- Business description;
- Licences, certifications, and qualifications;
- Insurance information;
- Portfolio, photographs, videos, and other business materials.

You are responsible for keeping your information accurate and up to date.

Dr. Octopus may request additional information or documentation to verify your business or eligibility to participate in certain marketplace activities.

2. Business Profile and Public Information

You authorize Dr. Octopus to create, maintain, display, distribute, and promote your Business profile on the Dr. Octopus platform.

Your Business profile may include information such as:

- Business name;
- Logo;
- Business description;
- Services;
- Service areas;
- Contact information;
- Website;
- Photographs and portfolio materials;
- Reviews and ratings;
- Quotations or marketplace activity where applicable;
- Discounts and special offers;
- Other information you provide to Dr. Octopus.

This information may be displayed to registered users, prospective customers, eligible marketplace participants, and other authorized visitors.

3. Reviews and Ratings

You expressly acknowledge and agree that Dr. Octopus may collect, display, publish, retain, and distribute reviews, ratings, scores, comments, and customer feedback relating to your Business.

Reviews and ratings may be displayed on your Business profile and may be visible to users who access the Dr. Octopus marketplace.

Dr. Octopus may moderate, restrict, remove, or refuse to publish reviews that violate applicable law, marketplace policies, or our content standards.

You must not manipulate, purchase, fabricate, incentivize improperly, or otherwise interfere with the integrity of reviews and ratings.

4. Customer Projects and Quotation Requests

Dr. Octopus operates as a marketplace connecting customers with businesses and professionals.

When an eligible customer submits a project, service request, or quotation request, Dr. Octopus may make the relevant information available to eligible Businesses and Professionals so that they can evaluate the opportunity and submit quotations, proposals, or offers.

Information shared may include, depending on the request:

- Project description;
- Requested service;
- General or specific location;
- Budget;
- Timeline;
- Photos;
- Videos;
- Documents;
- Other information reasonably necessary to evaluate the project.

You acknowledge that the same project may be made available to multiple eligible Businesses.

5. Non-Professional Quotations

You acknowledge and agree that Dr. Octopus may receive quotations, proposals, offers, or responses from users or participants who are not registered as Professional Businesses.

Where permitted by the Dr. Octopus platform, Dr. Octopus may display such quotations or relevant quotation information to Businesses registered as Professionals or otherwise eligible to access that information.

6. Business-to-Business Projects

If you register as a Business and use Dr. Octopus to post your own project or request for quotations from other Businesses, you expressly authorize Dr. Octopus to make the relevant information available to eligible Businesses that may be capable of responding to your request.

You understand that information submitted for this purpose may therefore be viewed by multiple eligible marketplace participants.

You agree not to submit passwords, financial credentials, trade secrets, or other highly sensitive confidential information unless specifically requested and required by Dr. Octopus.

7. Mandatory Discounts and Offers

Businesses participating in designated Dr. Octopus marketplace programs may be required to provide a genuine discount, special price, promotion, or other benefit to eligible Dr. Octopus users.

Any discount or offer advertised through Dr. Octopus must be genuine, accurate, and available in accordance with the terms advertised.

A Business must not:

- Create a false discount;
- Artificially increase a regular price before applying a discount;
- Advertise a discount that does not represent a genuine saving;
- Misrepresent the regular, previous, or comparable price;
- Advertise an offer that it does not intend to honour.

Where a Business advertises an inaccurate or misleading discount, the Business may be required, subject to applicable law and the circumstances of the matter, to honour the advertised offer, provide an appropriate price adjustment, or otherwise resolve the issue with the affected customer.

The Business acknowledges that it is solely responsible for the accuracy of its prices, discounts, promotions, and representations.

8. Customer Complaints

If a customer submits a complaint regarding your services, prices, discounts, quotations, representations, or performance, Dr. Octopus may investigate the matter and may request information or documentation from the Business.

The Business remains responsible for resolving disputes concerning the goods or services it provides, subject to applicable law.

Dr. Octopus may take marketplace-related action, including limiting visibility, suspending an offer, restricting an account, or terminating participation where appropriate.

Nothing in this Agreement removes or limits any mandatory rights or remedies available under applicable Canadian law.

9. Business Responsibility

You acknowledge that you are solely responsible for:

- Your services;
- Your employees and contractors;
- Your prices;
- Your discounts;
- Your quotations;
- Your contracts;
- Your licences and permits;
- Your insurance;
- Your taxes;
- Your advertising;
- Your representations to customers;
- Your compliance with applicable laws.

Dr. Octopus is a marketplace platform and does not itself provide the services advertised by Businesses unless expressly stated otherwise.

10. Verification and Eligibility

Dr. Octopus may establish eligibility or verification requirements for Businesses and may request supporting documentation.

A "Verified", "Professional", "Eligible", or similar designation does not necessarily constitute an endorsement, certification, warranty, or guarantee of the Business or its services unless expressly stated otherwise.

Dr. Octopus may suspend or remove a designation if eligibility requirements are no longer satisfied.

11. Business Communications

You authorize Dr. Octopus to communicate with you regarding:

- Your account;
- Projects;
- Quotations;
- Marketplace opportunities;
- Reviews;
- Offers;
- Account activity;
- Security;
- Customer support;
- Platform updates.

Commercial electronic communications will be handled in accordance with applicable Canadian law, including CASL where applicable.

12. Business Information and Privacy

Dr. Octopus may collect and use information you provide in connection with your Business account for the purposes of:

- Operating the marketplace;
- Creating and maintaining your Business profile;
- Matching your Business with relevant projects;
- Providing quotation opportunities;
- Verifying your Business;
- Displaying your reviews and ratings;
- Communicating with you;
- Improving the platform;
- Preventing fraud and abuse;
- Complying with legal requirements.

You authorize Dr. Octopus to disclose relevant Business information to users, customers, eligible Businesses, service providers, and other marketplace participants where reasonably necessary to operate the platform and provide its services.

Personal information will be handled in accordance with applicable privacy legislation and the Dr. Octopus Privacy Policy.

13. User Information

If you receive access to customer or user information through Dr. Octopus, you agree to use that information only for legitimate purposes related to the relevant project, quotation, transaction, or communication.

You must not sell, rent, scrape, harvest, distribute, or otherwise misuse customer information.

You must comply with applicable privacy and anti-spam laws when communicating with customers.

14. Prohibited Conduct

You may not use Dr. Octopus to:

- Provide false or misleading business information;
- Advertise fraudulent discounts;
- Manipulate reviews or ratings;
- Submit fraudulent quotations;
- Impersonate another Business;
- Engage in unlawful or deceptive conduct;
- Harvest customer information;
- Spam users;
- Circumvent marketplace systems or fees;
- Abuse the quotation or project system;
- Upload unlawful or infringing content;
- Engage in discriminatory, threatening, abusive, or fraudulent conduct.

15. Account Suspension or Termination

Dr. Octopus may suspend, restrict, remove, or terminate your Business account where reasonably necessary, including where:

- You breach this Agreement;
- You provide false information;
- You advertise false or misleading discounts;
- You manipulate reviews;
- You misuse customer information;
- You engage in fraudulent or unlawful activity;
- You create a security or safety risk;
- You no longer satisfy applicable eligibility requirements.

16. Marketplace Disclaimer

Dr. Octopus provides a platform for connecting customers and Businesses.

Dr. Octopus does not guarantee:

- That you will receive projects;
- That a customer will select your Business;
- That a quotation will result in a transaction;
- The accuracy of information supplied by users;
- The performance of customers or other Businesses;
- The outcome of any transaction.

Any agreement for goods or services is generally between the Business and the customer.

17. Limitation of Responsibility

To the maximum extent permitted by applicable law, Dr. Octopus is not responsible for disputes arising directly from services, contracts, quotations, prices, discounts, workmanship, payments, warranties, or other dealings between Businesses and customers.

Nothing in this Agreement excludes or limits liability or rights that cannot lawfully be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Dr. Octopus, its owners, officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from:

- Your services;
- Your representations;
- Your pricing or discounts;
- Your quotations;
- Your violation of this Agreement;
- Your violation of applicable law;
- Your dealings with customers;
- Your misuse of information obtained through the platform.

19. Changes to This Agreement

Dr. Octopus may update these Terms from time to time.

Where required by law, appropriate notice will be provided regarding material changes.

Continued use of the Business account following the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

20. Governing Law

Unless otherwise required by applicable law, this Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

21. Acceptance

By selecting:

1. You have read and understood this Agreement;
2. The information you provided is accurate;
3. You authorize Dr. Octopus to operate, display, and share your Business information as described above;
4. You understand that your Business profile, reviews, ratings, offers, and other permitted information may be displayed to users and eligible marketplace participants;
5. You understand that eligible project requests may be shared with your Business;
6. You agree to comply with all applicable laws and Dr. Octopus marketplace rules.
